These Terms and Conditions govern your access to and use of the website operated by NVP Distributors Ltd ("NVP", "we", "us", "our") and any purchase of products made through it.

By browsing the website, creating an account or placing an order, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the website.

These Terms should be read together with our Privacy Policy and Cookie Policy, which form part of your agreement with us.

To use this website and place an order you must:

We reserve the right to refuse service, close accounts or cancel orders where these conditions are not met.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that takes place under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security.

Certain products, prices and services on this website are available exclusively to verified professional (B2B) customers, such as salons, hairdressers, stylists and licensed beauty professionals.

To open a professional account you may be asked to provide:

• —A VAT number, where applicable;
• —Proof of professional qualification, certification or salon activity;
• —Any additional documentation reasonably required to verify your professional status.

Professional pricing, trade discounts and wholesale terms are confidential and are intended solely for the registered business. They may not be shared, resold or disclosed to third parties without our prior written consent.

Purchases made through a B2B account are business-to-business transactions. Consumer rights, including the statutory right of withdrawal, do not apply to such purchases.

We take care to describe and display our products accurately. However, product images, packaging, shades and finishes are for illustration only and may differ slightly from the product delivered, including as a result of screen settings and manufacturer updates.

All products are subject to availability. We may change, limit or discontinue any product at any time without prior notice. If a product becomes unavailable after your order has been placed, we will inform you and offer a replacement, a partial dispatch or a refund of the affected item.

All prices are shown in euro (EUR) and are subject to change without prior notice. The price applicable to your order is the price displayed at the time your order is confirmed.

• —Retail prices include VAT at the applicable rate unless stated otherwise;
• —Professional and wholesale prices may be displayed excluding VAT, as indicated at checkout;
• —Shipping, handling, customs duties and import charges are not included in the product price unless expressly stated.

In the event of an obvious pricing error, we reserve the right to cancel the affected order and refund any amount already paid, even after order confirmation.

Your order constitutes an offer to purchase the products in your basket. The order confirmation we send by email acknowledges receipt of your order but does not itself conclude the contract.

A binding contract is formed only when the products are dispatched, or when we send you an explicit confirmation of dispatch.

We may refuse or cancel an order, in whole or in part, where:

• —Delivery to the requested destination is not possible.

Payment must be received in full before dispatch, unless credit terms have been agreed in writing for a professional account.

We accept the payment methods displayed at checkout. All payments are processed through secure third-party payment providers; we do not store full card details on our systems.

Where agreed credit terms apply, invoices are payable within the period stated on the invoice. Late payments may incur statutory interest and recovery costs, and may result in the suspension of further deliveries.

Orders are dispatched to the delivery address you provide at checkout. Please ensure that this address is complete and accurate; we are not responsible for delays or losses caused by incorrect address details.

• —Estimated dispatch and delivery times are indicative and not guaranteed;
• —Shipping costs are calculated and displayed at checkout before payment;
• —Risk in the products passes to you on delivery;
• —Any visible damage or shortage should be reported to us within 48 hours of delivery, with photographs where possible.

We are not liable for delays caused by carriers, customs authorities or events beyond our reasonable control.

We ship to selected destinations within and outside the European Union. Availability of international shipping is shown at checkout.

For deliveries outside the EU, you are the importer of record and are responsible for all customs duties, import taxes, clearance fees and any local charges applied by the destination country. These charges are not included in our prices and are not refundable by us.

You are responsible for ensuring that the products you order may lawfully be imported into the destination country. Where a parcel is refused, abandoned or returned due to unpaid duties, any associated costs may be deducted from your refund.

11.1 Consumer Right of Withdrawal

If you are a consumer resident in the European Union, you have the right to withdraw from your purchase within 14 calendar days of receiving the goods, without giving any reason. To exercise this right, notify us in writing at info@nvpdistributors.com before the period expires.

11.2 Condition of Returned Goods

Returned products must be unused, unopened and in their original, undamaged sealed packaging, with all labels, hygiene seals and accessories intact. For hygiene and safety reasons, sealed cosmetic products, hair extensions and hair care items that have been opened or unsealed cannot be returned.

11.3 Refunds

Once we receive and inspect the returned goods, we will refund the amount paid for those goods, including standard outbound delivery costs where the whole order is withdrawn, within 14 days. Refunds are issued to the original payment method. Return shipping costs are borne by the customer unless the goods are faulty or incorrectly supplied.

11.4 Faulty or Incorrect Items

If a product arrives damaged, defective or is not the item you ordered, contact us within 48 hours of delivery with your order number and photographs. We will arrange, at our option, a replacement, a repair where appropriate, or a full refund including reasonable return shipping costs. This does not affect your statutory rights.

All products must be used strictly in accordance with the manufacturer's instructions, warnings and recommended patch-testing procedures.

Certain professional products are intended for use by trained professionals only. By purchasing such products you confirm that you or the end user have the necessary training and qualifications.

We accept no liability for damage, injury or unsatisfactory results arising from misuse, incorrect application, mixing with third-party products, or failure to follow instructions.

All content on this website, including text, graphics, logos, brand names, photographs, videos, layout and software, is owned by or licensed to NVP Distributors Ltd and is protected by intellectual property laws.

You may not copy, reproduce, republish, distribute, modify or use any part of the website or its content for commercial purposes without our prior written permission. Trade marks displayed on the website remain the property of their respective owners.

To the maximum extent permitted by law, our total liability arising out of or in connection with any order is limited to the amount paid for the products concerned.

We shall not be liable for indirect or consequential losses, including loss of profit, loss of business, loss of goodwill or loss of opportunity.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded, including a consumer's statutory rights.

We shall not be held responsible for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, fire, flood, epidemics or pandemics, war, civil unrest, terrorism, strikes, transport disruption, carrier or supplier failure, power or telecommunications outages, cyber-attacks, or acts of government or regulatory authorities.

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the Republic of Cyprus.

The courts of the Republic of Cyprus shall have exclusive jurisdiction, save that consumers resident in another EU Member State retain the protection of the mandatory provisions and the courts of their country of residence.

Consumers may also use the European Commission's Online Dispute Resolution platform to submit a complaint.
